This checklist is designed to assist you in preparation for a due diligence in conjunction with an M&A event or joint-venture with another company. The checklist includes 4 pages of line items that are essential to a thorough due diligence process (Incorporation documents, IP information, employee Information, vendor and customers, etc). There are columns that are next to each line items which allows you to assign an owner for that line item (responsible for obtaining and reviewing the item), the due date, and any comments.

1) Input your company information in the blue highlighted cells. The black highlighted cells are fixed. We have protected these cells so you cannot inadvertently change a formula or item name. If you do which to change an item name or cell format in order to customize this spreadsheet to your business, simply click off the cell protection feature of your EXCEL software. Once saved, any changes you make to the program will be final.

2) This check-list has four main columns. In the first column, we have listed the Due Diligence item name (This column is fixed). In column 2, you list the "owner" who is assigned to find and log that Due Diligence item. In column 3, you list the Due Date by which this task must be completed. In column, enter any comments you may have such
as status, actions needed, etc.

3) This checklist has 3 pages of specific due diligence items. We have added a fourth page where you can add your own due diligence items.
